Corporate governance is a system of rules, policies, and practices that dictate how a company's board of directors manages and oversees the operations of a company; Corporate governance includes principles of transparency, accountability, and security. The corporate governance structure specifies the distribution of rights and responsibilities among different participants of the corporation such as the board, managers, shareholders and other stakeholders, and spells out the rules and procedures for making decisions on corporate affairs. By doing this, it also provides the structure through which the company objectives are set, and the means of attaining those objectives and monitoring performance. In 2000, the Securities and Exchange Board of India (SEBI) introduced the first set of comprehensive corporate governance reforms via Clause 49 of the listing agreement of stock exchanges. Corporate Governance lays the foundation for behaviour of the company, the utilization of resources, product/service innovation and overall corporate strategies. Corporate Governance in India plays a critical role during restructuring events such as mergers and acquisitions.
